NH Retail · New History LLC
Effective date: October 15, 2026 · Version 1.0
This End User License Agreement (“Agreement”) governs access to and use of NH Retail, including its web app, mobile home-screen installation, updates, and connected features (the “App”). The App is operated by New History LLC, a Delaware limited liability company (“New History,” “we,” “us,” or “our”).
NH Retail is a private business tool for authorized New History users. Publishing this Agreement does not provide permission to access the App. Review these terms before using the App. By accessing or using it after receiving notice of this Agreement, you agree to these terms to the extent permitted by applicable law. If you do not agree, do not use the App and contact your administrator.
1. License and authorized access
While you remain authorized and comply with this Agreement, New History grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App for approved New History business activities. You may add the App to your phone’s home screen and use it on compatible devices under your control. The App is licensed, not sold.
You must have legal capacity to agree to these terms and authorization to perform the business activities you undertake. If acting for an organization, you must have its permission. Access to the App does not itself grant authority to bind New History, approve credit, change agreed commercial terms, or make commitments outside your assigned responsibilities.
2. Accounts and security
Use your own approved account and keep your account details accurate. Protect your devices, passwords, and sign-in codes. Do not share accounts or grant access to another person. Follow the organization’s access and security requirements, sign out on shared devices, and promptly report suspected unauthorized access to your administrator or the contact below.
New History may approve, limit, suspend, or remove access based on business responsibilities, security needs, or the end of a working relationship. Changing information in an account profile does not independently expand your permissions.
3. Acceptable use
You must use the App lawfully and within your authorization. You must not:
- Access another person’s account, bypass access controls, or retrieve records you are not permitted to use.
- Upload malicious code, disrupt the App, or conduct security testing without written authorization.
- Enter knowingly false orders, stock counts, payment information, or customer details.
- Disclose confidential business or customer information to unauthorized people.
- Copy, sell, sublicense, redistribute, or commercially exploit the App or its code without permission.
- Reverse engineer or modify the App except where applicable law expressly allows it.
- Upload content that violates privacy, intellectual property, or other rights.
4. Business records and operational decisions
The App helps authorized users manage retail locations, contacts, inventory, orders, visits, shelf photos, and follow-ups. Some information is entered by users or calculated from incomplete or changing records. Inventory estimates and suggested follow-ups do not replace physical counts or business review.
Review quantities, individual-can and case units, agreed prices, customer details, tax information, delivery information, and invoice recipients before confirming an action. Use the underlying accounting records to resolve financial discrepancies. You remain responsible for the accuracy of information you provide and for actions you initiate within your authority.
5. QuickBooks and other connected services
Where enabled, an authorized administrator may connect the organization’s QuickBooks Online account. With that authorization, NH Retail may access the company, customer, product, invoice, and payment-status information needed for its invoicing workflows and may create or email invoices as requested by authorized users.
Only connect accounts you are entitled to manage. You may not use another organization’s credentials or authorize access on its behalf without permission. An authorized administrator may withdraw the connection through the connected service or contact New History for assistance. Signing out of NH Retail or removing its home-screen icon does not itself revoke the organization’s QuickBooks authorization.
QuickBooks, Intuit, Cloudflare, identity providers, and other third-party services are provided by their respective operators under their own applicable terms. Their availability, permissions, subscription features, and fees may affect connected features. NH Retail is provided by New History, not by Intuit. References to third-party products do not imply sponsorship or endorsement.
6. Invoices and payment processing
Where invoicing is enabled, an authorized user may request an invoice for an order, open the invoice’s electronic payment option, or request that QuickBooks email the invoice or a paid invoice copy to its intended recipient. Confirm the customer’s email address and the order details before sending.
Electronic payments are processed through the connected payment provider’s hosted services, subject to that provider’s terms, eligibility requirements, and applicable fees. NH Retail is not a bank or payment processor. Do not enter full payment-card numbers, card security codes, banking credentials, passwords, or sign-in codes into the App’s notes, account photos, or shelf-photo uploads.
Payment status depends on confirmation from the connected accounting service and may take time to update. A completed browser redirect, an opened payment page, or a requested email does not alone prove that payment settled or an email was delivered. Review the accounting record when a status is uncertain.
This Agreement does not establish product prices, credit terms, refund rights, or payment deadlines. Those matters are governed by the applicable order, invoice, purchase terms, or separate agreement.
7. Records, photos, and permitted data use
Ownership of company records, customer information, photos, and other submitted content remains with New History or the relevant rights holder, as applicable. Nothing in this Agreement transfers ownership of your pre-existing content or changes rights established by an applicable employment, contractor, or business agreement.
You grant New History the permissions necessary to host, store, display, organize, back up, and process content you are authorized to submit, and to provide requested App functions through service providers. These permissions include displaying shared operational records to authorized New History users and delivering the intended customer’s invoice or receipt through the connected service. They do not grant an unrestricted right to publish your photos publicly or use them in unrelated advertising.
Submit only content you have permission to use. Avoid unnecessary personal information, confidential documents, or identifiable people in shelf photos. Do not use NH Retail’s connected-account data for unrelated purposes or distribute it to unauthorized parties.
8. Privacy and confidentiality
Our Privacy Policy explains our general information practices and how to contact us about privacy rights. NH Retail processes business contact details, account information, records and photos submitted by users, and authorized connected-service information to operate and support its business functions.
NH Retail’s connected accounting information is used for authorized operational workflows, not sold or supplied for unrelated advertising. Authorized New History staff may access shared business records, and intended customers may receive their own invoices and receipts. Hosting, authentication, and connected-service providers process information as necessary to provide their services.
Keep information obtained through the App confidential and use it only for authorized business purposes. For access, correction, deletion, or other privacy requests, contact New History. Requests are handled subject to applicable law, identity verification, and legitimate record-retention requirements. Ending App access or disconnecting a service does not automatically erase accounting records that must be retained.
9. Intellectual property
New History and its licensors retain rights in the App, its code, design, documentation, and associated intellectual property. New History and NH2O names, logos, and brand assets may be used only as authorized. Third-party names and marks belong to their respective owners. No ownership or trademark license is granted beyond the limited use necessary to operate the App for its permitted purpose.
10. Fees and separate purchase terms
Accepting this Agreement does not start an App subscription or authorize a payment. Any paid App service requires separately disclosed terms and your authorized agreement. Your mobile carrier, internet provider, accounting platform, or payment provider may charge fees under its own terms. Purchases of New History products remain subject to the applicable purchase terms and policies.
11. Updates, availability, and compatibility
We may update, maintain, change, or discontinue features and may require a supported browser, compatible device, or updated App version. Network connectivity is required for functions that read or save current shared records or communicate with connected services. We do not promise uninterrupted availability, compatibility with every device, or permanent availability of any particular feature.
We will provide notice of material service changes where required by law and, where practicable, before changes that materially affect authorized business use. Urgent security, legal, or operational issues may require immediate action.
12. Suspension and termination
You may stop using the App at any time. To request removal of access or help with a connected account, contact your administrator or New History. Removing the App from a device does not by itself close an account, revoke a third-party authorization, cancel an order, or delete retained records.
New History may suspend or end your license if your authorization ends, you materially breach these terms, or action is reasonably necessary to protect users, data, the App, or legal compliance. When access ends, stop using the App and return or delete confidential information as directed, except where retention is required by law or an applicable agreement.
Terms concerning confidentiality, ownership, permitted retention, accrued obligations, and legal responsibility continue to apply where their nature requires it.
13. Warranties and limitations
To the extent permitted by applicable law, the App is provided “as is” and “as available,” without warranties of uninterrupted operation, error-free records, fitness for a particular purpose, or compatibility with every third-party service. The App supports business operations and does not replace accounting review or professional advice.
To the extent permitted by law, New History is not liable for indirect, incidental, special, punitive, or consequential losses arising from use of or inability to use the App, including lost profits or business opportunities. These limitations do not exclude liability for fraud, willful misconduct, gross negligence, or any liability or rights that applicable law does not permit us to exclude or limit.
14. Governing law and other agreements
This Agreement is governed by Delaware law and applicable United States federal law, without regard to conflict-of-law rules. Mandatory legal protections that apply to you remain in effect. A court with lawful jurisdiction may hear a dispute; this Agreement does not require arbitration or waive a right to bring a claim that cannot lawfully be waived.
This Agreement governs the App’s software license. Separate written agreements concerning employment, confidentiality, commercial orders, or paid services remain effective. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision does not waive the right to enforce it later.
15. Changes to this Agreement
We may revise this Agreement and will identify the current version and effective date on this page. We will provide notice of material changes and obtain additional agreement where required by law. Review updated terms before continuing to use the App. Changes do not retroactively alter completed orders or override rights that cannot lawfully be waived.
